Short answer: company registration is not completed in one place. It runs across four layers handled by four different systems, and only the first is independent of where you or your business sit. Everything else is decided by your address. Fix that principle in mind and every "where do I file" question answers itself.

  • Layer 1 — entity registration (SEC). The legal entity itself is registered with the Securities and Exchange Commission under one national rule set producing one certificate. The layers have a hard sequence. The SEC layer: file online or at a window, and how far online actually takes you

Short answer: the SEC is the single national registrar for the entity itself, and the province you choose does not change this layer's rules. The online channel can carry entity registration through to an electronic certificate — but finishing online does not mean the company can operate, because the three layers below it still run locally.

How far the online route goes. Name verification, submission of the incorporation documents, payment and issuance of the electronic certificate can generally all be handled inside the SEC's online system. Which BIR office handles you? The revenue district follows your registered address

Short answer: the BIR divides the country into revenue district offices, and your company's tax registration must land with the one covering your registered address. That is not a choice you make; the address makes it. Filing at the wrong district, or moving later, means a transfer of registration rather than a fresh one.

The company track. Once the SEC certificate is in hand, the company registers for tax at its district office and, in the same stretch, gets the books of accounts and the authority to print receipts and invoices sorted out. All three are tied to that same district — meaning where your books are registered and who authorises your valid receipts both follow your registered address. The individual track is separate, and this is the trap most people miss. Shareholders, directors and authorised signatories may each already hold a taxpayer number registered in a different district — obtained years ago while employed in another city, or as a sole proprietor. Barangay and city hall: filed where you operate, and moving cities means starting over

Short answer: this layer follows the business address completely. Clearance first at the barangay office covering the address, then the business permit window of the city or municipality that barangay sits in, with fire and other offices signing off during the process. Moving to another city is not a transfer — it is doing the whole thing again in the new city.

Why it is a redo and not a transfer. Business permits are issued by each city or municipality under its own local legislation, and legally they authorise operation within that jurisdiction only. They carry no effect across the boundary. So if you move from city A to city B, the permit from A cannot travel with you: B runs its own process from the start, while A still requires you to close or cancel under its own rules, otherwise obligations at the old address remain attached to your name. Where cities differ. Is filing in a province the same as Metro Manila? Ecozones and freeports use a different window entirely

Short answer: the SEC layer is identical nationwide; the local layer is not. A province is not a simplified Metro Manila — it is a different rule set. Fewer people does not mean faster, and a shorter process does not mean lower requirements.

The real difference is predictability, not difficulty. Metro Manila city processes have been run countless times, document lists are relatively stable, and you can obtain a reasonably accurate expectation in advance. Provincial municipalities run fewer windows and are more tightly bound to local scheduling — some matters are accepted only on particular days, some sign-offs wait on a specific officer being present — so arriving underprepared can cost you a whole cycle. Can you do it from abroad, and where do you collect the certificates afterwards?

Short answer: you can push most of the process from abroad, but three categories of action cannot avoid being physically present — not necessarily you personally, but somebody acting for you, on the ground in the Philippines. Sort the tasks into these three groups and you will know whether you need to fly.

  • Group two — delegable, but authentication comes first. Documents requiring your signature — board resolutions, powers of attorney, various forms — can be signed in your own country, notarised as the receiving office requires, legalised at a consulate or apostilled, and then couriered to the Philippines.
