The Real Problems

Setting up in the Philippines — are you stuck on exactly these things?

It's not a money problem — it's a 「can't understand it, can't find the right people, afraid of crossing legal red lines」problem. Almost every boss coming to the Philippines hits these hurdles.

🗣️

All documents in English, afraid of signing the wrong thing

SEC and BIR forms and processes are all in English wrapped in Filipino-style bureaucracy — the boss can't follow it; hire an ordinary translator and they don't understand business, so mistakes on key clauses come easy.

Language · Information Gap
⚖️

Can foreign investors own 100%?

Industries serving the local market are subject to the 60/40 foreign-ownership cap, and foreign ownership above 40% usually requires US$200,000 in paid-up capital. Right from the start you're stuck on 「do I need a local shareholder, and how do I structure the equity safely?」

60 / 40 Ownership
🚫

Casually using a nominee can land you in jail

Casually finding a Filipino to act as a nominee runs afoul of the 「Anti-Dummy Law」— both parties can face criminal charges and assets can be liquidated. In 2026 the SEC is scrutinizing this extremely closely, and even requires nominee shareholders to prove they have the financial capacity to buy the shares.

Anti-Dummy Law · High-Risk Zone
🏦

Bank account blocked, licenses span agencies

Foreign-owned firms often get blocked when opening a corporate account; SEC → Mayor's Permit → BIR → SSS/PhilHealth/Pag-IBIG spans multiple agencies with rules that differ by city — what should take weeks can drag into months.

How do you handle work visas for expat staff?

The boss can go through the SIRV (US$75,000 investment); expat employees need an AEP (DOLE work permit) + 9G work visa, tied to the employer, with a tedious process where one wrong step means starting over.

Employee Visas
🤝

New to the country, afraid of being fleeced by middlemen

Afraid the agent pockets the spread, afraid you pay and no one follows through, afraid you end up with a 「fake company.」 What you really want is simple — one reliable Chinese-speaking point of contact watching over the whole thing.

Why Yixing

Companies fear getting burned — we keep our trust out in the open

9+

years of local experience, rooted in Manila since 2016

A proper corporate entity, a Makati office address, 9 years on the ground — corporate clients fear fly-by-night agents absconding with their money most of all, so we keep our roots out in the open.

3

languages, local team (Chinese / English / Filipino)

Our sharpest edge: one Chinese-speaking contact owns the whole thing, so you don't have to deal with the government, English, and a pile of vendors yourself.

⚖️

Compliance expertise · steering you clear of landmines

We know 60/40, we know the Negative List, we know the Anti-Dummy Law — we help you build a legal structure and avoid the traps, not just find a random nominee and call it a day.

5

major pillars, one-stop closed loop

From site visit to daily life, handled by one firm — no need to switch between three vendors. This closed loop itself is the kind of trust others can't offer.

🤝

Official & local resource connections

A collaboration network with SEC / BIR / DOLE / banks / law and accounting firms proves we can 「get it done」— not just talk on paper.

🧩

Travel + visa + convenience services in one

Yixing's existing travel, visa, and convenience capabilities are all stitched into the business chain — from the boss's first site visit to the team settling into daily life.

The Difference

Fly-by-night agent vs. legitimate hands-on support — where's the difference

In the Philippines, the price of cheap is often jail and a liquidated company. This table lays it out.

Fly-by-night agent / nominee arrangement
Yixing · legitimate hands-on support
Corporate entity
An individual / WeChat account that may vanish once paid
An SEC-registered entity + Makati office address, since 2016
Ownership structure
Casually using a nominee — risking criminal liability under the Anti-Dummy Law
Legal structure design, avoiding the Anti-Dummy and foreign-ownership landmines
Communication language
You deal with English and the government yourself
One Chinese-speaking contact owns the whole thing
Scope of service
Only helps with registration, nothing after
Full chain: site visit → company setup → visas → compliance → daily life
Pricing
Hidden fees, layer upon layer of markups
Government fees + service fees itemized separately, a transparent list
Who's accountable if something goes wrong
If it's found to be a shell/fake company, you bear it alone
Compliance first, blocking risks at the door for you
FAQ

The questions bosses ask most

Can foreign investors own 100%? Do I have to find a local shareholder?
It depends on the industry. Many industries allow 100% foreign ownership (especially export-oriented ones, and telecom/logistics liberalized in 2022); but industries on the Foreign Investment Negative List, or those serving the local market, may be subject to the 60/40 limit and require a local shareholder. We first check the Negative List against your industry, then give you the most solid ownership plan — a legal structure, not a nominee arrangement.
What's the minimum investment to open a company in the Philippines?
A Filipino-owned ordinary company can start as low as a few thousand pesos; foreign-owned firms serving the local market usually need US$200,000 in paid-up capital (which can drop to US$100,000 if you employ ≥50 Filipinos or use advanced technology); export-oriented enterprises (≥60% export) are exempt from this threshold; some special economic zones can go as low as about US$50,000. The exact amount depends on what you do and who you sell to — once we talk it through, you'll know.
Is it safe to just find a Filipino to act as a nominee to open a company?
Extremely dangerous. It runs afoul of the 「Anti-Dummy Law」— both the foreigner who put up the money and the Filipino nominee can face criminal charges, and company assets can be liquidated without compensation; in 2026 the SEC already requires nominee shareholders to prove financial capacity to buy the shares, and the Bureau of Immigration is reviewing five years of 9G visas retroactively, having blacklisted hundreds of foreigners suspected of involvement in shell companies. What we do is a legal, compliant ownership and capital structure, blocking the risk at the door for you.
How do I handle work visas for my expat employees?
The standard path is AEP (DOLE Alien Employment Permit) + 9G work visa: the company first sponsors the AEP (including newspaper recruitment publication and a skills-transfer plan), then the 9G. The 9G is tied to the employer and becomes void when you change companies — the process is tedious and error-prone, so hand it to us to process one by one, with renewal reminders before expiry, and save yourself the trouble.
About how long does it take and how much does it cost to register a company?
A purely domestic ordinary company takes about 2–4 weeks; a foreign-owned / regulated / branch takes about 4–12 weeks (including SEC approval, capital-remittance certification, Negative List checks, and social-security and municipal permits). On cost, government fees are usually tens of thousands of pesos, plus a professional service fee — the exact quote depends on entity type and complexity, and we give a transparent list up front, with no hidden-fee games.
What visa can the boss personally use to stay in the Philippines long-term?
Two common paths: the SIRV Special Investor's Resident Visa (invest about US$75,000 in a permitted economic activity, bring spouse and minor children, and stay long-term as long as the investment is maintained); or the SRRV retirement resident visa (as of September 2025 relaxed to allow applicants as young as 40, with a deposit of US$25,000–50,000 depending on pension status). Which fits you better becomes clear with an assessment.
I'm in export/manufacturing/BPO — can I pay less tax?
Yes, the key is whether you go through PEZA or BOI. Export-oriented / manufacturing / IT-BPO entering a PEZA economic zone can enjoy a 4–7 year income-tax holiday, followed by a 5% special tax on gross profit in place of the 25% regular rate, plus duty-free imports of equipment and raw materials and VAT zero-rating; BOI targets priority industries and doesn't require entering a zone. Incentives vary by project and are at the agency's discretion, so we first calculate which path is most worthwhile, then handle registration and year-by-year compliance — we don't overpromise a 「guaranteed grant.」
I want to sell food/cosmetics/health supplements in the Philippines — what do I need?
To distribute and sell physical goods in the Philippines, you usually first need an FDA business license (LTO), then a product registration (CPR) for each product, or a notification (CPN, e.g., cosmetics/toys) for low-risk categories. No local company yet? No problem — you can use CPR Housing via an agent to run product registration in parallel with company setup; if you just want to test the waters first, you can also use an Importer of Record (IOR) to sell goods in without setting up a company. We help you determine which to file and connect you to the landing process.
When I come and hire local employees, how do I avoid labor-law pitfalls?
Philippine labor law is strict and detailed, with the easiest landmines in contracts, employee handbooks, and social security. We provide an end-to-end service of recruitment screening + compliant employment contracts/employee handbook + SSS/PhilHealth/Pag-IBIG registration and remittance; if you just want to hire 1–3 people to test the waters without opening a company yet, you can use an Employer of Record / staff leasing (EOR) to onboard people the same month. The goal is singular: compliant employment, zero labor disputes, and you never have to touch Philippine labor law yourself.
